Joseph Melchione and Timothy Oppelt of Styskal, Wiese & Melchione, LLP have authored an article in Volume 7, Issue 2 of the DePaul Business and Commercial Law Journal. The article, Fiduciary Duties of Credit Union Directors in the Merger Context, 7 DePaul Bus. & Com. L.J. 203 (2009), reviews general corporate legal principles as they relate to the duties of credit union directors in change in control transactions, particularly mergers and hostile merger bids. The authors have shed light on this previously unexplored area by analogizing to corporate law standards appliciable to for-profit corporations. The article explores this area with an eye toward clarifying how these standards apply in the context of cooperative institutions, specifically credit unions.
